Terms of Service
1. Agreement
These Terms of Service ("Terms") govern your use of withvinly.com and the Vinly application (collectively, the "Service"), operated by Vinly, Inc. ("the Company," "we," "us," or "our"), 222 West Merchandise Mart Plaza, Suite 1230, Chicago, IL 60654. By creating an account or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service is an AI-powered relationship management tool for founders and professionals. Vinly surfaces contact reminders and generates outreach drafts based on relationship data you import. The Company does not send messages on your behalf. You remain in control of all outbound communications.
2. Use of the Service
- You must be at least 18 years old to use the Service.
- You agree not to use the Service for unlawful purposes, to interfere with its operation, or to attempt to gain unauthorized access to the Company's systems or to data belonging to other users.
- You may not scrape, reverse-engineer, or copy the Service except as permitted by applicable law.
- You are responsible for maintaining the security of your account credentials. Notify the Company immediately at [email protected] if you suspect unauthorized access to your account.
3. Intellectual Property
The Service, including all text, graphics, logos, interface design, and underlying software, is owned by Vinly, Inc. or its licensors and is protected by U.S. and international intellectual property laws. The Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during the term of your subscription.
4. Your Data and Content
You retain ownership of all contact data, relationship notes, and other content you import or create in the Service ("Your Data"). By using the Service, you grant the Company a limited license to store, process, and display Your Data solely to provide the Service to you. The Company does not use Your Data to train AI models without your explicit written consent. You are responsible for ensuring that you have the right to import and process the personal information of third parties (your contacts) through the Service.
5. Subscription, Fees, and Cancellation
Vinly offers a Free tier and paid subscription plans (Solo and Team). Paid plan fees are billed in advance on a monthly or annual basis, as selected at signup. You may cancel at any time; cancellation takes effect at the end of the current billing period. The Company does not provide refunds for partial billing periods except where required by applicable law. The Company reserves the right to modify pricing with reasonable advance notice.
6. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINLY, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT AI-GENERATED OUTREACH DRAFTS ARE ACCURATE, APPROPRIATE FOR YOUR SITUATION, OR FREE FROM ERROR. YOU REVIEW AND SEND ALL OUTREACH AT YOUR OWN DISCRETION.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINLY, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING DAMAGES ARISING FROM RELATIONSHIP OR BUSINESS OUTCOMES FOLLOWING USE OF AI-GENERATED DRAFT MESSAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF USD $100 OR THE FEES YOU PAID TO THE COMPANY IN THE THREE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.
8. Indemnification
You agree to defend, indemnify, and hold harmless Vinly, Inc. from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) Your Data or the data of third-party contacts you import, or (d) your violation of any third-party right.
9. Termination
The Company may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your license to use the Service ends. Sections 3, 6, 7, 8, 10, and 11 survive termination.
10. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles.
Informal Resolution. Before filing any claim, you agree to contact the Company at [email protected] and attempt to resolve the dispute informally for at least 60 days.
Arbitration. Any dispute that cannot be resolved informally will be settled by binding arbitration administered in Illinois, USA under the rules of the American Arbitration Association ("AAA"). Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. You and the Company each waive the right to a jury trial and the right to participate in a class action.
Exception. Either party may seek injunctive relief in a court of competent jurisdiction located in Illinois, USA for intellectual-property infringement or unauthorized access to the Service.
11. Changes to These Terms
The Company may update these Terms from time to time. Material changes will be posted with a new "Last updated" date. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the revised Terms.
